Public Meeting on St. Rose Hospital Sale to Alameda Health System

The Attorney General is reviewing a waiver request related to the proposed sale of Hayward Sisters Hospital, a California nonprofit corporation doing business as St. Rose Hospital (St. Rose), and Saint Rose Medical Building, Inc. (SRMB), a California nonprofit corporation, to Alameda Health System (AHS). St. Rose Hospital is a 171-licensed bed general acute care hospital located in Hayward, California. The “Membership Issuance Agreement” is by and among St. Rose and SRMB, as Sellers, and AHS, as Purchaser. The Sellers and Purchaser will also enter into a Transitional Services Agreement which provides for the provision of certain transitional planning services by AHS to St. Rose prior to the closing, with the St. Rose Board of Directors retaining full control over St. Rose and SRMB until the closing has occurred. The waiver request is being reviewed under Corporations Code sections 5920, subdivision (c) and California Code of Regulation section 999.5, subdivision (a)(5).

The Attorney General will conduct a public meeting on September 13, 2024, at 10:00 AM, at the Sherman Balch Pavilion located at 27190 Calaroga Avenue, Hayward, CA 94545. The purpose of this public meeting is to receive comments on the proposed sale of St. Rose Hospital and SRMB to AHS.

What we are doing to keep you safe

  • For your safety and to minimize the potential of virus exposure for our patients and staff, we are screening all patients via phone, prior to your outpatient procedure(s).
  • If you need emergency care, you will be screened prior to entering the Emergency Department.
  • If you have respiratory symptoms, you will be given a mask to wear.
  • If you have respiratory symptoms and meet the screening criteria for COVID-19, your Emergency Department clinician will determine the appropriate clinical course.
